1. Agreement to Terms
By accessing our website or placing an order for wire harness or cable assembly manufacturing services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.
2. Services Description
We provide custom wire harness and cable assembly manufacturing services including design support, prototyping, and production manufacturing. Services are provided from our facilities in China and the Philippines.
3. Quotations and Orders
Quotations
- Quotations are valid for 30 days unless otherwise specified
- Prices are based on specifications provided at the time of quote
- Changes to specifications may result in price adjustments
- Quotations do not constitute an acceptance of order
Order Acceptance
- Orders are binding upon our written acceptance
- We reserve the right to decline any order
- Order modifications must be agreed in writing
- Cancellation terms will be specified in the order confirmation
4. Payment Terms
- Payment terms are specified in the quotation or order confirmation
- First-time customers may be required to pay in advance
- Established customers may qualify for credit terms
- Late payments may incur interest charges
- We accept wire transfer, credit card, and PayPal for smaller orders
5. Intellectual Property
Customer IP
You retain all rights to your designs, drawings, and specifications. We will maintain confidentiality of your proprietary information and will not use it for any purpose other than fulfilling your orders.
Our IP
Any design work, tooling, or processes developed by us remain our intellectual property unless specifically agreed otherwise in writing.
6. Confidentiality
We agree to maintain the confidentiality of all customer technical information, drawings, specifications, and business information. Confidential information will not be disclosed to third parties except as necessary for order fulfillment (e.g., component suppliers).
7. Quality and Specifications
- Products are manufactured to specifications provided by the customer
- Standard tolerance is per IPC/WHMA-A-620 unless otherwise specified
- We recommend customers review and approve first article samples
- Changes to industry standards may affect product specifications
8. Delivery
- Lead times are estimates and may vary based on complexity and capacity
- Shipping terms are specified in the quotation (FOB, CIF, DDP, etc.)
- Risk of loss transfers as specified in the shipping terms
- We are not liable for delays due to force majeure events
9. Inspection and Acceptance
- Customer must inspect goods within 14 days of receipt
- Claims for defects must be submitted in writing within this period
- Goods are deemed accepted if no claim is made within 14 days
- Defective goods should not be modified or used before inspection
10. Warranty
We warrant that products will conform to agreed specifications and be free from defects in materials and workmanship for a period of 12 months from delivery. This warranty does not cover:
- Defects caused by customer-provided specifications or components
- Damage due to improper handling, storage, or installation
- Normal wear and tear
- Modifications made by customer or third parties
11. Limitation of Liability
Our liability is limited to the value of the defective goods. We are not liable for consequential, incidental, or special damages including lost profits, business interruption, or costs of procurement of substitute goods.
12. Force Majeure
We are not liable for delays or failures in performance due to circumstances beyond our reasonable control, including natural disasters, war, strikes, government actions, pandemics, or supply chain disruptions.
13. Export Compliance
Customer is responsible for compliance with all applicable export control laws and regulations. Customer shall not export or re-export products in violation of such laws.
14. Governing Law
These terms shall be governed by and construed in accordance with the laws of the People's Republic of China for orders manufactured in China, or the Republic of the Philippines for orders manufactured in the Philippines. Disputes shall be resolved through arbitration.
15. Changes to Terms
We reserve the right to modify these terms at any time. Changes will be effective upon posting to our website. Continued use of our services constitutes acceptance of modified terms.
